Please reply with procedure of takeover of proprietory concern by co. as per company law. I know the provisons of capital gains. Just reply the provisions and procedures with reference to company law and also the expenses involved.

There is no provision for Take Over for Prop in Co. Law
if you are incorporating new company then also attach copy of Two Years Balance Sheet & Return Copy / Ass. Order Copy.
and take Assets and Liabilites as same.
Against Capital issue shares or create Unsecured Loans.
