A Private Limited Company is convereted into Public Limited Co. whether it is required to hold statutory meeting. reply Fast

if private company is being incorporated before 6 months then no need of statutory meeting but if it is incorporated within 6 months then u have to hold statutory meeting.

it means if co.. is more than 6 months old then no need of SM.

Hi,

 

If your pvt company is converted into public company with in 6 month of incorporation as pvt company then section 165 is applicable to your converted public company & you have to hold SGM u/s 165.

 

In other words if your pvt company is more then 6 monthsold then section 165 is not applicable in your case.

 

Revert if there is any doubt.

Department’s Clarification says the provisions of sections 149 and 165 of the Companies Act, 1956 relating to the certificate of commencement of business and Statutory Meeting would not be applicable to a private company which has converted itself into a public company. {Department’s File No. 44/50-CL-IV/62}
