Hi,
I have a private ltd company which had 3 subscribers to the MOA. One of the subscribers is resigning and his shares need to be transferred to the incoming director. What process needs to be followed ?
ps : Share certificates have not yet been issued.

1. Issue share certificates to the subscribers after passing Board resolution.
2. Get SH4 duly executed by buyer and seller alongwith share certificate.
3. Pass Board resolution for transfer of shares and make necessary entries in statutory registers and return the share certificate duly endorsed in favour of the buyer.
