Is it neccessary to mention the remuneration of relative person of director in special resoultion under section 314 while filing the form 23?

The amount of remuneration to be paid requires consent by the shareholders in the General Meeting by special resolution including increase in remuneration except where the appointment on time scale has already been approved by the special remunerateion

is it correct?

Yes, Mr. Hemant, its correct.


It is not neccessary to mention the remuneration of relative person of director in special resoultion under section 314. However, you need to attach this information to form 24B, if required, for taking central government approval.

While filing form 23, you only need to attach extract copy of special resolution along with explanatory statement as passed by the members in their general meeting.

The special resolution may approve the appointment of a relative of a director and authorise the Board to fix  the remuneration and other terms and conditions and also make necessary application to CG, if required.

In my opinion, the amount of remuneraion should be mention in the Special Resolution. And in case of any change in the remuneration SR would be required.

Sir, agreed...! amount is required to mentioned. But if i am not wrong,  amount of remuneration of relative is not required.

plz correct me if i am wrong...
