Section 301 of company act 1956

The remuneration of Directors: I want to know whether the remuneration paid to directors is a transactions as referred in Section 299 and hence recordable in register maintained u/s 301 of Companies Act, 1956........

Remuneration paid to director is being paid by the company to the director for rendering the services to the company.  It is given by the company to the directors as a whole for rendering various types of services tot he company & not for a particular service/contract

For transactions relating to section 301 the director is only requried to disclose his interest to the Board and is not entitled to participate in those meetings.

Agree with the views of Mr. Giridhar.
