Section 25 comapny

Hi Pratibha,

Please follow the following route for conversion:-

CONVERSION FROM PRIVATE LIMITED TO SECTION 25 COMPANIES.

Now the CG has delegated power to Regional Director to issue license for establish a section 25 company. 

Existing company...

1. To make amendment in MoA of company. Amended objects must be fall under ambit of section 25 (Non-profit manner).

2. To make amendment in AoA of company relating to distribution of dividend, managerial remuneration etc...

3. Various enclosures are require by RD for issue license, 

4. The application shall be made through e-Form-24A. The following documents must be enclosed with Form 24 A.

1.      Amended MoA & AOA (SRN of Form-23)

2.      Last two years Balance sheet and Profit & Loss Account

3.      Declaration by advocate or company secretary regarding conformity with provisions.

4.      Declarations as per annexure V of the companies Act

5.      Resolutions passed by both members and board.

Kindly engage practicing company secretary for aforesaid proceeding to implement.

But can u pls temme that whether form 1A n form 1B shall be filed for name change or the word "Private Limited or Limited" can be used by a Section 25 Co.

Also RD's power has been delegated to ROC for Sec 25 Co., so now also Form 24A shall be filed???

24A needs to be filed and Section 25 company can either be a private or a public company.

But Amit, 24A is for application to RD and whn the power of Sec 25 has been delegated to ROC thn y 2 file 24A, wont we file 61 to ROC. Please explain me this.

Dear Pratibha,

Delegation of power does not mean change in procedure. The power delegated to concerned ROC has been done to reduce time in approval of Section 25 Company. Form 24A shall now be processed by ROC. I request you to read the concerned notification and Form 24A help for further clarification.

Please check that now the powers has been shifted to concerned Roc. i am doing this case.

filed Form-1A, for name availability. file form-23, form-24AA and in last form-1B is also needed to be filed.

Please tell me if I don wanna change the name & using the word "private limited" is allowed then y shuld i file form 1A & 1B. Also which is form 24AA to be filed? I din get any form 24AA at MCA portal.

can any one provide me with the documents relating to sec 25 company with the main object of child welfare..

Also these documents are to be submitted to ROC and not to RD right??
