Section 203 states that every listed co. shall have the following whole-time key managerial personnel
(i) managing director, or Chief Executive Officer or manager and in their absence, a whole-time director;
(ii) company secretary; and
The joining word used after clause (ii) is "and". Hence it is clear beyond any doubt that all 3 have to be appointed.
