As per Sec 152 of CA, two third of total directors are liable for determination on rotational directors and out of which on third directors are liable to retire in every AGM. For eg if there are are 8 directors then 6*2/3=4 are liable to determine and out of that 4*1/3=1 shall retire in the AGM
