I AM CA STUDENT, I WANT EXPERT ADVISE IN FOLLOWING MATTERS

 

1) IN CASE OF COMPANY, DATE OF SIGNING  AUDIT REPORT come first or date of AGM ?

 

2) in form 20B,23AC,23ACA date of event means ? (date of balance sheet date/date of audit report/date of agm?

3) in ROC form 20B, what attachments are required in case of private limited company whose paid capital is 1,00,000 and Authorised Capital is 10,00,000 

4) what is the difference between basic EPS and dilluted EPS ?

Generally the date of Auditor report and Director report is same, Then after the date of notice come and at last AGM date comes.

 

 

 

Date of event means, the date related to particular event like director report date, auditor report date, AGM date.

1) IN CASE OF COMPANY, DATE OF SIGNING  AUDIT REPORT come first or date of AGM-Theoretically Board should approve provisional accounts first, then it should be given to the auditors for his report. After auditor report and accounts, it should be approved in the BM. So Auditor report and date of signing of accounts by Board is the same. But as per ur question whether date of AGM will come first- NO WAY ?

 

2) in form 20B,23AC,23ACA date of event means ? (date of balance sheet date/date of audit report/date of agm? -In all cases, date of event means from the date from which obligation to file form starts. In case of 23AC, ACA and 20B, it is the date of the AGM

3) in ROC form 20B, what attachments are required in case of private limited company whose paid capital is Rs.1,00,000 and Authorised Capital is Rs.10,00,000 Sch V attachment required

4) what is the difference between basic EPS and dilluted EPS ? I think u r aware of what EPS is and how it is calculated. Thats is basic EPS, but in case any outstanding obligation is there for conversion of deb into shares etc, then EPS calculated after considering such conversion is diluted EPS

Put date of auditors report, directors report and notice as same. Because directors convene a meeting, approve auditors report, directors report and decides to convene AGM. So that is the notice date as well..

This avoids confusion. 

Then after 21 days show AGM.

3(b)

Date of BoD meeting in which balance sheet was approved, date of siging of balancesheet - Date on balancesheet(BoD meeting date)

date of AGM in which accounts are adopted - Date of AGM/Adjourned AGM

Date of signing of BS by auditor - Date of auditors report.

whats the time limit for AGM ?

in case FORM 20B, is it require to attach AUDIT REPORT, Director Report ?

if yes is it require to sign on such report and Schedule V-Annual Return ?

there are 3 time limits:

1. 6 months from the close of financial year

2. 15 months from last AGM

3. Once in a calendar year

 

If we need to comply all these time limit, AGM should be held before September 30.

Annual return is the only mandatory attachment to 20B. Dont want to attach auditors' or directors report.

Annual return has to be signed by two directors.
