revised Annual Return

Sir,

Can anyone guide me with respest tot the following topic:

If annual return of the Company has been wrongly filed as to Date of AGM, address of the Registered Office, Directorship and 100% change in Shareholding, in this case can Form 20B be revised with ROC.

This Company was sold to another party and the associated proffessional of the seller,  filed the same without proper consultations, we being the purchaser.

Can a Clarification letter be attached as optional attachment in this behalf. can u please guide as to the subject matter of such a letter.

As per my opinion dear you file another Form 20B with correct details along with a covering letter for clerifing the reason of filing another Form 20B....then this form is also taken into records by ROC along with earlier approved form 20B(which is filed with wrong details)

I dont think there is any procedure of rectifing any E-form filed, ones it is approved by ROC on MCA site, untill ROC ask for user clerification or resubmission of form...

or u may talk with ROC in this regard before taking any action...

As per my experience, in case of Annual returns & Annual Reports, company can file the revised returns. Stating the same in attached reports or as a seperate attachment.

ROC will take on record the revised Forms filed.

You have option to file revise return with ROC with reason of filing revised return. before filing revised return please ensure that this time you company give correct detail with ROC.
