The Auditors of a Pvt Ltd Company retires at AGM & New Auditors are appointed at the AGM. Please tell the procedure as per NCA 2013 & provide me with Notice & Director Report of the same! Do we have to file ADT-3 with GNL-2?

The tenure of retiring auditor appointed under CA 1956 must be upto the date of enduing AGM. Hence he can just give a letter to the company of his unwillingness to be reappointed at the AGM. Take consent & eligibility letter from the new auditor for his appointment at the AGM. Pass ordinary resolution and file ADT.1 with ROC as an attachment to GNL.2. It is not a case of resignation of retiring auditor.
Auditor of a Private Limited Company is unwilling to continue as a auditor from F.Y.2015-16.So a new auditor appointment is to be done in the AGM. Please tell me the Procees to be followed. Forms to be filed and format of resolution and letter.
