Previous auditor has not done two year audit and now company wants to remove , as a new auditor what is the safest procedure to accept this assignment?

Hi,
Whether the previous auditor is appointed by company AGM , if yes in that case the company will not able to remove him without the permission of the Central Govt. (i.e. Regional Director). Also conform that whether last two year AGM was held or not. It is advisalble for the company to settle the matter with the previous auditor and satisfy his grevience and if possible take his resignation after settling his greverences.
