Removal of auditor

If the first auditor is willing to resign from office, then u can simply get the resolution passed in the EGM of the company to appoint other CA as auditor.
As pe section 224 (7) Any auditor may be removed from office before the expiry of his term only by the company in general meeting, after obtaining the previous approval of the central goverment in the behalf.
Sub section 2 and 3 of section 225 shall apply to a resolution to remove auditor,(such as special notice, representation from the existing auditor.)
