Re-constitution of committees
Hello All
i have doubt on re-constitution of Committee. if a a person appointed as MD in a company and he is also member of 3 committees as Audit, CSR and Nomination and Remuneration Committees
Board Decided to change MD as CFO and one of the Director nominated for MD and Appointed in EGM as MD.
my Doubt is company re-constitute all Committees by resigning MD and Appointed CFO...

If the person ceases to be a director, he will automatically cease to be a member of the committee also. You will have to pass Board resolution for appointment of someone else in his place.
Thank you sir.. is it required to intimate ROC about changes in committee.. if yes which eform is to filed with ROC..
