Re-appointment of auditor

Dear Friends,

For statutory auditor's re-appointment, a resolution will be passed in AGM.

Is it necessary to pass the resolution for auditor's re-appointment in Board meeting also?

If it is not compulsory, can a resolution be passed in Board meeting also if Statutory auditor insists?

madam kavitha for statutory appointing in every AGM must and should pass resolution, in case of re appointed auditor also pass resolution

Passing a Ordinary resolution/Special Resolution as the case may be at AGM is necessary even in case of Re-appointment of Auditor. But no idea about passing one more resolution at Board Meeting for same purpose. I don't think so no any such resolution is required. Anyway let's wait for expert's reply.

According to sec.224 Statutory auditor should be appointed at EVERY A.G.M by share holders of the company.  No auditor is appointed unless there is an ordinary resolution is passed ( Special resolution is required in a specific situation where the company has >= 25% of paid up capital with the composition of 

CG or SG

Govt Company

public financial institution

nationalised bank   etc.....
