will the representatives of the president of India and governor of a state be counted in the quorum of a meeting?

As per the provisions of Section 103 of the Companies Act 2013 read with Secretarial Standards, to constitute the qurom of the meeting, members needs to be physically present at the meeting. Proxies are excluded for determining the quorum of the general meeting. However the authorized representative of the Governor of the state or the president shall be deemed to be the member personally present and enjoy all the rights of the members and shall deemed to be counted for the quorum of the general meeting.

As per the Provision of Section 112 and 113 of the Companies Act 2013, Representative Member of President/Governor and Corporates respectively shall be counted in the quorum ( Section 103 ). They carry all the rights as a Member.
