Quorum for board meeting
if the one of the director Cought in emergency situation (like heart attack) while meeting is going on and so he cannot continue to his meeting...by that meeting does not make quorum ... can the remaining director continue with their meeting or not?

Yes then can continue if the board have minimum number of Quorum excluding such directors who vacate between Board Meeting due to any reason.
And in case of 2/3rd or more than interested Directors atleast 2 Directors should be present at throughout the Meeting.
