Query regarding annual filing with roc

Hii Friends,

On the Board of a Public Company 2 directors A & B were appointed as Additional Directors on 27.03.2010. Form 32 is filed.

Existing Directors X & Y resigned from the Board on 31.03.2010.Form 32 is filed.

Annual filing of the said company for Fy 2009-10 is pending. hence it is a defaulter company.

My query is -

1) can the company file its return and accounts with the ROC when the Form 32 regarding Regularisation of A& B is not yet filed.

2) For the said company CLSS is applicable. So if I file the forms, will it be directly charged under CLSS or anything extra is required to be done?

UR ans:

1.   Company can file the return and show the resigned directors as resigned and newly appointed directors shud b shown on the Board. No matter if form 32 is not filed or delayed. U can take this effect on the record.while filing annual e-filing forms.

2.   No extra efforts to be done for availing concession under CLSS scheme. Wen challan will be generated, it will automatically adjust the concession and hence less amount of penalty to b paid by you.

Can anyone tell me the due date for filing Annual Return with ROC and the relevant section/

What if the same is not complied with?\

Please give me the reply urgently.

File form 23AC n 23ACA with in one month of AGM and Form 20B within 60 days of AGM. Filing late will result in penalty which will be added in the challan of those eforms, when uploaded.

delay of  30 days =  additional fee is two times of normal filing fee

delay of 31-60 days = additional fee is four times of normal filing fee

delaty of 61-90 days = additional fee is six times of normal filing fee

delay of more than 90 days = nine times of normal filing fee

Can you also tell me what is the normal filing fee and what all other forms are required to be uploaded?

After conducting AGM only three forms required to b filed

Form 23AC, 23ACA and 20B.

For fee, refer Schedule X of Companies Act 1956. Fee varies according to the authorised capital of the company.

Hi Shridhi,

is Fees as per Schedule X only for 20B or for 20B, 23AC,23ACA altogether.
