I am running a Private Limited Consulting Company. I have some new ideas that i wanted to include in this business.

1. Information Technology Training & Consulting

2. B2B Marketing and advisory services through Information Technology.

The existing main objects of which the company is established were given below:

(A) The main objects to be pursued by the company on its incorporation are: 1. To carry on the business of providing consulting, advisory, implementation and support services in the field of business operation, IT planning, development and management including (Software and Hardware) and project management for all industries in India and out side India. 2. To carry on the business of Manpower consultancy in India and abroad, to provide training to the above Manpower to make them suitable to be employed in the IT sector, and to do other related services subject to the law of the land in force. 3. To provide staffing solutions to industries in the information technology, Banking Insurance, Finance and other service sectors both in India and abroad.

Pl let me know if i can run the above listed ideas with the existing objectives itself or i need to amend the existing objectives. If you can detail me with the steps and how to take it forward, that would be grateful at this time.

I guess the MOa needs to amended for inclusion of Information Technology Training in its objects.

For this a BM must be called wherein the resolution for alteration of object clause in MOA is to be passed and an EGM for the same is to be called for by giving a proper notice with explanatory statement.

Get the resolution approved bya Special resolution for Shareholders.

Then file a form 23 with ROC for the same.

I have a query regarding a private limited company incorporated under the companies act. There is a difference in the name of the company- as registered with the ROC and as printed on the Articles of Association(i.e. there is a mistake in the name of the company on the AOA- a word is missing in its name). Could you please let me know the procedure to get this rectified.

There might be a printing error on behalf of the person who printed your MOA and AOA

There is no Requirement of any formality to be done with MCA

Its not a printing error. I'v got certified copy of MOA & AOA of the company from the ROC. Even in the certified copy of AOA the name of the company is misspelt. How do i get it rectified?

Check the name in the Master Data of the Company at MCA Portal

and verify the same from form 1A filed by you, if there is a mismatch then contact the MCA officials , otherwise you will have to apply for change in the name of the company

Thanks for your reply Gaurav. But in my case, all the other documents are fine. Only in the Articles of Association a word is missing in the name of the company. What procedure do i need to follow to get it rectified?

Nothing just a spelling mistake you may rectify the same and get printed new sets.

Its not a printing mistake. The name is wrong in the certified copy from the ROC itself. how can i reprint a certified copy..

Then check master data, certified copy will be generated what is registered with the ROC. If the name is wrongly registered, you need to take steps for change in name.
