Pvt ltd co. to issue shares in public

a private company cannot issue shares to public................it has to issue shares to promoters or their relatives etc and should keep the members below 50

No , i mean it is ready to convert itself into a public co. so i want to know the procedure for conversion first and then procedure for public issue of shares.

 Checklist for conversion of pvt ltd co into a public ltd co.

1. Hold board meeting and approve the proposal for conversion.

2. Convene EGM and pass it as a special resolution for altering the Name clause in MoA, AoA and Conversion.

3. File e-form 23 within 30 days with attachments of Notice, Resolution and explanatory statement. Also, attach altered MoA & AoA. In the meanwhile, file Form - 62 with new MoA & AoA.

4. Check that the no. of directors on board are more than 2.

5. No. of members to be 7 and Paid up capital to be Rs. 5 Lakhs.

6. Obtain a new certificate of Incorporation from RoC after approval.

7. Get a new Common seal and letter heads printed in the name of new company.
