no dear proxy appointed by member will not be counted as quoram.

Section 103(1) specifies certain number of members required to be personally present to form quorum for a meeting. However in case of private company exemption notification dated 5.6.2015 provides that this section shall apply unless the articles of the company provide otherwise.  Hence the articles of a private company may provide that members present through proxy will be counted for the purpose of quorum.
