Procedures to convert proprietorship firm to partnership fir

Dear Experts:-

We are the proprietorship firm in Bangalore and now we are converting the same to Partnership firm with 2 other Partners from the family members of the proprietor. I wanted to know about the statutory formalities to be done to convert the same. We know PAN, TAN, Excise, Service Tax registrations to be done newly and kindly advice me about the followings:-

1) Sales Tax

2) ESI & PF

3) Factory Act

4) Professional Tax

5) Pollution control Certificate

Kindly do the needful.

Dear Antony,

I shared best of my knowledge in reply of your queries.

Proprietorship and Partnership are having different legal structure as an entity. In Proprietorship an Individual is the sole owner of business where in partnership firm two or more than two individuals come together and make a mutual consent to a common Partnership deed to operate business. Irrespective of the fact the name and place of the firm is same as of proprietor’s, the Partnership firm need to have all Statutory Registrations, License, Certificates, Codes etc. separately with its own name.

 Conversion in legal structure of entity does not amount to automatic conversion of all the statutory registrations. A partnership firm has to obtain the following after conversion on its own name:

  1.  Registration certificate from Registrar of Firm
  2. PAN
  3. TAN
  4. Service Tax/Excise
  5. IEC
  6. Sales Tax/VAT
  7. PF/ESI
  8. Registration under State Labor Department
  9. Registration under State Shops and Commercial Establishment Act etc.
