Procedure to be followed for transfer of shares in pvt. co.

Dear All,

Supoose a company have 2 directors cum shareholders ( each have 5000 shares)

Now One Of the director want to transfer some of its shares to his son/ daughter/spouse

then what is the process for this...

How to intimate this with ROC i.e. what e-form to be submitted in this regard

further how to make the transfree as director of the company

1. pass the board resolution 2. take transfer form fill and stamping on that 3. pass the resolution for allotment 4. register the name of shareholder in the register book. 5. In AGM return so the transfer of shares. regards, pramod

tell one thing is there any requirement for intimation to roc i.e. upload of any form or not

have u any format of transfer, if yes please give link

There is no need of any immediate intimation to ROC except that this transfer of share is to be disclosed in the Annual Return of the company to be filed with ROC.
