Procedure for change of auditor under co. act, 2013

Dear All,

Please let me know the procedure to be followed to change the statutory auditor of the Company after expiry of the term.

The Board has recommended other Audit firm for doing 2014-15 audit and not the retiring audtior on approval of accounts meeting. I am confused with the procedure as per Companies Act, 2013.

- Take letter from  retiring auditor for his unwillingness for being reappointed at the AGM

- Take letter from  new auditor for  his willingness and eligibility

- Board to recommend appointment of new auditor at the AGM in place of reitring auditor 

- AGM to pass ordinary resolution for appointment  of  new auditor

- ADT.1 to be filed with GNL.2 with ROC within 15 days of AGM.

So this will be taken as ordinary business in AGM notice and shall be passed as ordinary resolution. Please let me know whether explanatory statement is required for the same, i think it is not required for ordinary business and for ordinary resolution. Please clarify.

Yes please, explanatory statement is not required in this case.
