yes directors of the company who is a share holder of the company is not disqualified for becoming a auditor

Mr.X can be appointed as auditor as the shares are held by the company , however it is advisable to make to disclosure of the fact

Yes Mr. X can be appointed as auditor of company II, but he has to disclose his interest in company I.
I think facts are not clear. Whether director is practicing Chartered Accountant ?
