Dear All,
We are recently incorporated Private Limited Company and want to know the few things:-
1. Does share holders need to be present in the Board of Directors Meeting or not..?
2. Now the MOA and AOA format has been changed as per Companies Act, 2013. Will the earlier MOA and AOA will remain the same or we need to update?
3. Please share the Board of Directors meeting format.

1. Shareholders are not allowed to attend Board meetings.
2. You don't need to amend teh earlier MOA and AOA because it is implied that the new provisions would be applicable acordingly. But if you wish to amend them,,, you may by following provisions accordingly.
3. You need format of what for Board meeting. Please specify.
