Please Provide what are the steps ( Secretarial Practices) to make partly paid up shares as fully paid up. Whether we can use the amount available with the company in the name of Reserve and Surplus for making partly paid up shares as fully paid up. Is any form is to be filed with MCA at the time of making the shares fully paid up.Please guide.

As per my point of view, u have no need to file any form in the ROC. But u have to make the form for making call to the shareholders and need to increase the paid up capital in ur Annual Return.

AS PER MY VIEWS

U cant use the other sources money to make partly paid share into fully paid up.

In ur case either u have to make these partly paid shares into fully paid after receiving of pending money from the allottes of shares.

OR

In case u r nt able to recover the pending money then u can forfiet the application money after follow up procedure mentioned in AOA of company then further u can reissue these shares.

No form for ROC purpose is required

You can make partly paid shares by capitalizing free reserve or security premium like bonus issue shares.

Form 2 not required to be filed with ROC.

Mr. Pankaj please clarify how we can use the free reserve which have been capitalised for making partly paid up shares as fully paid up. Are there any limits for using such amount as per law

Can anyone help me out......how can a private limited company can issue partly paid-up shares. What is the procedure for it. Relevent section of Companies Act and regulations of SEBI applicable on such issue?
