No, Directors are absolutely not included in one level below KEY MANAGERIAL PERSONNEL.
The reason being there is a difference between Governance and management.
GOVERNANCE : in most enterprises, governance is the responsibilities of Board of Directors(BoD) under the leadership of the chairperson. It ensures that stakeholders needs, conditions and options are evaluated in order to determine and achieve a balanced and agreed on enterprise objective.
MANAGEMENT : in most enterprises, management is the responsibilities of the executive management under the leadership of the CEO. Management plans, builds, runs & monitors activities in alignment with the direction set by the governance body to achieve the enterprise objectives.
