In case of a private company the minimum no of members shall be 2 and minimum no of directors as per section 149 shall be 2 and case of a public company the minimum no of members shall be 7 and minimum no of directors shallbe 3 however for listed companies read with sebi guidelines minimum no of directors shall be however for maximum limit shall be 15 however the same could be increased by passing a special resolution as per section 149(1)
