Noting of directors interest (u/s 184)

Co Act 2013 678 views 3 replies

Dear Members,

MGT 14 is required to be filed for Noting the Disclosure of Interest by Director under section 184 and as per 179 (3).

My Query is, in pursuance to Sec 184(1) the noting of all directors if filed immediately after the First Board Meeting of a financial year in MGT 14, is it required to File MGT 14 for every subsequent resignation/ appointment (Change in directorship statu in other companies) in other companies thereafter????

Thanks in anticipation.

Regards,

Avneesh Mishra.

Yes.

Company needs to file the Board Resolution noting disclosure in e-Form no. MGT-14  within 30 days from the date of Board Meeting in which such disclosure is made. Section 179(3)(k) read with rule 8(5) of Companies (Meetings of Board and its Powers) Rules, 2014,

The scope of Section 184 is very very wide.  You may refer attached article on the subject published in Chartered Sccretary (Sep. 2014 issue).
