I don't remember the case law but supreme court has held that if notice for board meeting is not given to all directors proceeding are void.

Held in the case of Parmeshwar Prasad vs Union of India such a Board Meeting shall stand adjourned in case the notice of such a meeting in a written was not delivered by hand delivery or by post or courier or any electronic mode to the directors at their registered addresses
