X was appointed as additional director in Feb 2011 and Agm was due by sep 2011. agm was not conducted. now company is planning AGM in Marcg 2012. pls advise legal implication for the company.

X is appointed as additional director to hold office till the AGM, but you can regularize him before the AGM at any general meeting. If you are conducting AGM for regularization then there is no need, only call a simple general Meeting.
