I have one query : In case of public limited company while calculating rotational director and directors retire by rotation both whole time directors and part time directors considered or not.     

Combined reading of section 255 and 256 suggests----2/3 directors are rotational and 1/3 are non-rotational directors. As par practice while calculating 2/3 and 1/3 WTD and MD are considered as non-rotational directors.

On the other hand ordinary directors are considered as rotational director.

It is a public company, but limits of sec 269 not apply becz of less Capital, 4 directors appointed as Executive Directors & 3 as Non ED, it means while calculating 2/3, that 4 not considered. (articles play any role or not) 

what is the status of 4 ED in MCA records. Have you given them the designation of MD or WTD. as far as filing of form 32 with ROC is concerned? 

All are appointed as ED, so i think in general sense we called them as WTD. Is it so or ???
