Moa and aoa format asper cos act, 2013

Provisions of the new Act relating to incorporation of new company have yet to come into force.  Further draft Rules provide for several matters which can be taken up by a company only if prescribed in the Artcles (e.g. issue of shares with differential rights; issue of preference shares; MD can also be Chairman etc.).  Further for several matters fee is to be prescribed in Articles (e.g. fee for inspection of register of members; extract of contract register/loan register etc.).

Hence unless these provisions come into force in entirety, we have to follow existing MoA and AoA.  As regards existing companies, Sub-section (9) of Section 5 of 2013 Act which deals with Articles states that nothing in that Section shall apply to the articles of a copany registered under any previous company law unless amended under this Act. 

I also need the same. my company has been put on hold with below remarks:

to re-scan amended copy of moa and aoa(private company clause) as per Companies Act, 2013.

Please let me know the changes required for the same.
