CONFIRMATION OF MINUTES OF PREVIOUS MEETING

The Minutes of the previous Share Transfer Committee Meeting were placed before the members and the same were signed and confirmed.

TO APPROVE & TAKE NOTE OF TRANSFER OF SHARES

The Secretary placed before the Committee, the Share Transfer Register maintained by M/s ____________________ Limited, Registrar and Share Transfer Agent. After due discussion it was:

“RESOLVED THAT the transfer of Equity Shares of Rs. 2 each, fully paid, as per the entries in the Share Transfer Register under transfer No. 2536 to 2587 (both including) covering 51 No. of Equity Shares of the company be and is hereby approved and taken on record.”

TO APPROVE & TAKE NOTE OF SPLIT OF SHARE CERTIFICATE

The Secretary placed before the Committee, the Splitting Register maintained by M/s _______________ Limited, Registrar and Transfer Agent. After due discussion it was:

“RESOLVED THAT the split of old share certificate of Rs. 2 each bearing number 27081 into 51 new share certificate bearing numbers from 27086 to 27136, as per the entries in the Splitting Register under transfer No. 17 be and is hereby approved.”

SEBI COMPLIANCE CERTIFICATE FROM REGISTRAR AND TRANSFER AGENT

The Committee took note of the Certificate furnished by the Registrar and Transfer Agent of the Company regarding Compliance of SEBI Guidelines/Stock Exchange requirements for the period ended March 31, 2008.

INVESTORS’ COMPLAINTS

The Company Secretary furnished the Certificate of Registrar and Transfer Agent of the Company regarding status of Investor Complaints for the quarter ended March 31, 2010. He further briefed the committee about the investors’ queries and complaints which are being handled in a very satisfactory manner and that no complaints remained pending as at the end of quarter. The Committee took note of the same.
