Rule 7 of Meeting of Board and Power Rules talks about vigil Mechanism.

According to this Rule Every listed Company and class of Companies specified under this rule shall established a vigil mechanism for their directors and employees by passing Board Resolution at Board Meeting and in case of other companies other than mentioned in Rule 7, Board of Director shall nominate a director   to play the role of audit commitee for purpose of vigil mechanism
