Dear All,
Can board Meeting be valid if it was held without issue of any notice of the
Board Director? Can any of the director become the Chairman of the board
meeting? Like : as Mr. X is the Chairman of the First Board Metting , Mr. y
is the chairman of the second board Meeting respectively.
Please clarify the same.

No a Board Meeting is not valid if proper notice is not given. (Section 286) There may be a penalty upto Rs.1,000 on each officer in default.
Yes, the Chairman of a meeting is appointed at the initiation of the meeting and any of the director can be so appointed.

WHERE IT IS MENTIONED IN THE ACT (EXCEPT IN THE TABLE A) THAT A CHAIRMAN MUST BE APPOINTED TO CONDUCT A BOARD MEETING? WHAT ARE THE CONSEQUENCES OF NON-APPOINTING THE CHAIRMAN ?
