It has already been discussed here in this forum. Resolution is sufficient. MBP.1 is not a public document and should not be attached. Such disclosure is open for inspection only to directors and shareholders of the company and not for general public. It is understood that ROC Kolkatta is asking to attach MBP.1 which is not as per the scheme of the Act.
Completely agreed with Agrawal Sir, only certified true copy of resolution is required to be annexed to MGT 14 and our group company too is following the same practice..
MBP-1 is for internal disclosure of interest by directors which may be sought by the Auditors for assessment.
