Maintenance of the Register of Member in Case of Private limited Company - In Google Sheet

I wish to maintain my company’s statutory registers in electronic form using tools like Excel or Google Sheets, as they provide ease of use and accessibility. However, I am facing a challenge with respect to attaching a Digital Signature Certificate (DSC) to these formats, particularly Google Sheets, as I could not find any straightforward method to do so.

As per Rule 27 of the Companies (Management and Administration) Rules, 2014, it is mandatory to ensure that entries made in the electronic registers are authenticated with the DSC of the authorized person. Given this, I seek your guidance on the following:

  1. Is there any method or tool available to attach or integrate a DSC directly with Google Sheets or Excel?
  2. If direct integration is not possible, what alternative methods can I adopt to comply with the legal requirements?
  3. Would maintaining the records in a specialized software or a system designed for compliance purposes be a better option? If so, could you suggest some reliable platforms?

Your expertise and assistance in helping me comply with the requirements of the Companies Act, 2013, would be highly appreciated.

Looking forward to your valuable advice.

To attach a Digital Signature Certificate (DSC) to Excel, you can follow these steps¹

: - Open the saved Excel file and select the space where you want to add the signature line. -

Click the "Insert" tab and select "Signature Line" in the text group. -

A "Signature Setup" box will pop up.

Enter the signer's name, title, email address, and instructions to the signer. -

Click "OK" and then select your digital signature certificate.

However, integrating a DSC with Google Sheets directly is not straightforward.

You may need to explore alternative methods or specialized software designed for compliance purposes.

Some possible alternatives include: -

*Digital signature tools*: Utilize digital signature tools like DocuSign, Adobe Sign, or eMudhra, which offer integration with Google Sheets or Excel. -

*Specialized compliance software*: Consider using software specifically designed for compliance purposes, such as MCA21, which provides a secure and authenticated environment for maintaining statutory registers. -

*Third-party add-ons*: Explore third-party add-ons for Google Sheets or Excel that offer digital signature functionality, such as HelloSign or SignNow.

When selecting a solution, ensure it meets the requirements of the Companies Act, 2013, and Rule 27 of the Companies (Management and Administration) Rules, 2014.
