Is it mandatory to file explnatory statement under section 102 along with the resolution for adoption of the financial statements by the board of directors in Form MGT-14 or is it enough if we only file true copy of the resolution.

Sir,
Can you please quote some examples of section 117(3)(c) of the CA 2013:
"Resolutions which have been agreed to by all the members of a company, but which, if not so agreed to, would not have been effective for their purpose unless they had been passed as special resolutions"
for the purpose of filing MGT-14.

Hie Ankur,
Rule 8(3) talks about appointment and removal of KMP, removal doesnot include resignation.
hence, my point of view is resolution to take note of resignation need not be filed.
