Dear Professional Colleagues,
One of the private limited companies wants to issue Debentures. It has executed debenture agreement on 20.03.2014. Further they are compulsorily convertible unseucred debentures and issued at premium.
I wish to know whether debentures can be issued at premium & what compliances need to be done for issue of unsecured debentures including ROC filings?

- What is meant by debenture agreement?
- Yes, theoritically debentures can be issued at premium also. But what is the logic behind premium?
- MGT.14 and PAS.3 have to be filed with ROC.

However, for issue of debentures do I need to take valuation certificate and also offer letter?
