Can any one please let me know whether a PVT Ltd co. can issue share for some exisiting share holders at premium and at par for some existing share holders(to recognise their service to the compay) if all the exisitng share hodlers agree for the same.
whether ordinary resolution is enough or it requires special resolution.

According to me, u can issue as there is no such provision in the Companies Act for the same.
Only a Board Resolution shall suffice.
