Issue of share

If a proprietex has sold goods worth of Rs.25 lakhs to a company, and the company had expressed its willingness to allot shares in lieu of the goods supplied. Can the same can be alloted in the name of the spouse of proprietex if in the case whether the disclosure for the shares are issued for other than cash to be disclosed??
