General consent for giving notes on upsi items of agenda

Hi everyboby,

As per para 1.3.7, General consent for giving Notes on items of Agenda related to UPSI needs to be obtained from the directors at the 1st Board meeting of the financial year. Is this applicable to private companies too? As far as i understand, only listed companies need to obtain general consent from their directors.

Also, can someone provide the format of this general consent
