Hi

Does Sec-274(1)(g) of the Companies act,1956 apply to a Pvt. Ltd. Co.?

Form-DD-A is required to be taken every year or only at the time of appointment?

A director is disqualified if he is a director of a co. which has defaulted in submitting A/R & B/s for CONTINOUS THREE FINANCIAL YEARS.

My co. rec. notice frm ROC for non compliance of Sec.-159, 166,210,220 and thereafter we complied for annual filing for 2 or 3 yrs. together .Does this amount to disqualification U/s 274(1)(g) for the yr. in which it was not filed?

Answer to your queries:

1. section 274(1)(g) doesnot apply to a Private Company

2. Form DDA is taken at the time of appointment and after that every year in the month of March which will be recorded in the 1st Meeting of the next Financial Year

3. If the Company is a public company, concerned director will be disqualified at the end of the 3rd financial year
