Form 3 and 4 if all the partners have to resign and new partners added

Hi,

Please can somebody help, I have to resign all the partners of the LLP and appoint new partners given to understand the same cannot be filed in the same Form 3 and 4 (meaning I have to file two forms one for appointment and one for resigning all the exisiting partners)

Do I need to execute two deeds one for appointment and then for resignation or one deed will suffice for appointment and resignation.

You cannot have both the resignations and appointments in one deed. First prepare a deed by which new partners join and thereafter, after a few days prepare another deed by which the earlier two partners resign. Hence your problem will be solved.

As if the deed of resignation and appointment is one, then it is unclear about the authorised signatory.

You have to file form 4 for appointment of New Partners with joining deed and then form 3 for change of share rights and after a few days form 4 for resignation for cessation of the old partners with new deed
