Form 2 is applicable for allotment of forfeited equity share

Dear All,

We are a listed company and company has allotted Forfeited equity shares to non members of the company. Is it required to file Form 2 with MCA?

No, it is not required to file form-2 with mca in case of re-issue of forfeited shares

Agree with Preet on the above. No filing required as Form2 for the existing shares realloted.

Basically it is a sale of shares, so no need of Form 2 with ROC.

Return of allotment u/s 75(1) is for first allotment of those shares only.

 

The reissue is only sale of the existing shares.

The word allotment used in 75(5) is in a different meaning compared to 75(5). This has been decided by court.

Form 2 is return of allotment and issue of forfeited shares is not allotment, hence not required to file any form 2. Thanks
