company as three director. in that 2 are under dispute. Can the another, i.e one remaining director can sign notice of AGM? why and how can he do so??

In Board meeting, one of director is given authority to sign and send notice of AGM to shareholders.

However, CTC Resolution of giving authority to director in board meeting, it has to be signed by 2 directors of the company.

So unless and until you don't have resolution giving director authority to send notice, he cannot send notice of AGM.

Does Section 174(2) not apply here which says that continuing director may act for summoning a general meeting.
