Extension of AGM

Respected All,

Please answer my some questions:-

1. in case of extension in AGM a notice is send to members.I want to know when shud be notice given Suppose my accounts are finalised on 30.09.10 and my last AGM was held in 25.09.2009.So notice to members shud be given before accounts are finalised or after the same.

2. Now in Board Meeting we will fixed date for Extended AGM.Now whether i need to fie a notice for Extended AGM also as in case of normal AGM we give 21 days notice.

Please help me its urgent

You need to send the notice to the members before 21 days from the due date of AGM subsequently you need to make an application to the ROC for the extension of AGM before 21 days from the due date of AGM.

I think you are talking about ROC's extension...for which there is no need to give any notice to SHs.

 

After getting extension form ROC and after fixing date of AGM in accordance with ROC approval question of member's arise...

Answer to Ques no.1.

 

Ofcourse after the finalisation of Accounts and their approval and fixation of date, time and venue of AGM and after obtaining the extention, the notice of AGM is to be send to the shareholder.

21 Clear days notice as you give in case of Normal AGM.

@ Ankur Sir : Sir u r rite i am takin about ROC only.Sir there is  a provision that Extension letter must be sent within 15 months of "LAST AGM" held. LAST AGM means last year AGM

I need format of letter requesting ROC for getting extension of AGM ? Kindy mail the same to shubhmaurya.cs @ gmail.com ? Thanks in Advance
