Since the company is a listed one then esop should be as per

SECURITIES AND EXCHANGE BOARD OF INDIA (EMPLOYEE STOCK OPTION

SCHEME AND EMPLOYEE STOCK PURCHASE SCHEME) GUIDELINES, 1999. .

Find attached herewith a suberb checklist for ESOP. However it is a bit detailed one.
 

As per my previous experience and with reference to your query kindly check your ESOP scheme and your GM resolution for terms and conditions. As grant is totally dependent on ESOP scheme which should be in sync with GM resolution.
